UTV Software Communication sees unusual rise, much before Walt Disney’s takeover offer

The stock has been rallying by 126% since February 2011, six months before the US entertainment giant announced its plan to buy out the Indian company and subsequently delist it, but the market watchdog has been looking elsewhere

US-based entertainment giant Walt Disney recently announced the buyout of UTV Software Communications by acquiring the shares held by promoters and public, and the delisting of the company. Reacting to the news, the stock jumped by 5.39% and closed at Rs950.45 on 26th July on the Bombay Stock Exchange (BSE). But little did people notice that the scrip has been rallying since February 2011, six months before the big announcement.

Surprisingly, market regulator Securities and Exchange Board of India (SEBI), has not taken any note of the upward movement of the company’s stock, which is without any specific reason.

On 9 February 2001, company’s stock closed at around Rs437.50. Since then it continued to climb, till 27th July, where it closed at Rs987.85. In six months, the scrip has gone up by 126%. During this period the Sensex was flat.

Market experts point out that such a steady rise in the stock price, followed by a major announcement is highly unusual and needs investigation by SEBI. There was no fundamental reason for the stock to have steadily moved upwards.

Walt Disney, a group promoter, currently holds 50.44% paid-up equity share capital of the company. It has now offered to acquire shares held by the public and original promoters. UTV’s managing director Ronnie Screwvala, Unilazer Export and Management Consultants Limited, Unilazer (Hong Kong) Limited and Zarina Mehta are the promoters of the company who hold 19.82% of the equity.

Interestingly, on 10th February, Unilazer Export bought 44,000 shares of the company. This is just a day after when the scrip started moving up.

In a filing to the BSE, UTV said, “The company’s board of directors has approved the delisting offer and is acquiring shares from public at a price not exceeding Rs1,000 per equity share. Walt Disney will also acquire 80,53,480 equity shares representing 19.82% of the current paid-up equity share capital from its other promoters of the company at the same price as discovered pursuant to the delisting offer.”

Importantly, the company has further mentioned that Walt Disney has informed them that, “if for any reason, the delisting offer is not successful, the Acquirer (Walt Disney) shall evaluate all potential strategies and opportunities in relation to the acquirer’s investment in the company.”

Such a statement, market participants say, raises speculations over the buyout offer. Small-time investors are already in doubt over the deal. SEBI, so far, has failed to act and ascertain the reason for the rise in the company’s stock. At least the regulator should now keep a tight vigil on the company’s activity, to protect investors.

Family assistance foundation selects send word now’s communications software

In addition to organizing its own team, the foundation also organizes volunteers from member organizations around the world after a disaster or accident. It does so to help provide transportation, food, lodging, and counseling in the immediate aftermath of a disaster.

Earlier last month, the company announced many local and international organizations used its communication and incident management software during the Toronto G20 summit.

Prior to joining Oxford Bioscience Partners, Poorvin worked at Schering-Plough for 22 years, the last 10 as head of business development. Poorvin had also held positions of director of clinical research at Schering-Plough and at Pfizer Pharmaceuticals. Mobile Messenger, a Los Angeles-based mobile technology provider with its technology arm in Boston from its recent acquisition of m-Qube from Verisign, has named Larry Robiner as vice president, CRM channel sales. Prior to joining Mobile Messenger, Robiner was vice president of business development at Epsilon. In addition, Amy Dudman has been promoted to senior vice president, strategic operations. In her new role, Dudman will spearhead the m-Qube integration, streamline campaign operations and applications and lead corporate positioning.

Susan F. Tierney has been named to the board of directors of Boston-based EnerNOC Inc. Tierney has served as a managing principal since July 2003 at Analysis Group in Boston, an economic, financial, and business strategy consulting group. Commercial real estate advisory firm Colliers Meredith & Grew has named Ronald K. Perry as president. Current president Kevin Phelan will assume the role of co-chairman with Tom Hynes. Perry joined Colliers Meredith & Grew in 1984 and in 2007 was appointed head of Colliers Meredith & Grew’s brokerage group, which includes the Boston, suburban and retail brokerage teams. Phelan joined the firm in 1978 to create the capital markets group and was appointed president in 2007. Phelan will continue to lead the capital markets group as well as manage a range of institutional client relationships for Colliers Meredith & Grew. In addition, Leeanne Rizzo has joined Colliers Meredith & Grew as an assistant vice president in the suburban brokerage group, focusing on brokerage activities in the Route 128 Mass Pike market. Hopkinton life sciences consultantcy Talaris Advisors LLC has named Derek H. Lee as chief financial officer and corporate development officer. Lee comes to Talaris from SV Life Sciences, a health-care venture capital firm with capital commitments of approximately $1.5 billion. Lee has prior experience working with the global health care group at UBS Warburg and with the healthcare investment banking group at Salomon Smith Barney. He received his bachelor’s degree in finance from Bentley College.

Cambridge biopharmaceutical Cerulean Pharma Inc. has named Karen Roberts as senior vice president, finance and administration, and appointed John Ryan as chief medical officer. Roberts comes to Cerulean after serving as vice president, finance and administration, at Elixir Pharmaceuticals Inc., since Elixir’s founding in 2001. Prior to joining Elixir, Roberts held senior financial positions at Frontline Group, Dyax Corp. and T Cell Sciences. Prior to working in the life sciences field, Roberts worked at Avery Dennison Corp. Ryan joined Cerulean in July 2009, bringing with him more than 20 years of experience in clinical research and development at AVEO Pharmaceuticals, Wyeth (formerly Genetics Institute) and Merck Research Laboratories. Software associations urge reform of Sipa presidency requirements

Seven software associations recently sent a joint letter to the Software Industry Promotion Agency board proposing it review its minimum requirements for selecting a new president.

The seven associations are the Association of Thai Information and Communication Technology Industry, the Association of Thai Software Industry, the Thai Software Export Promotion Association, the Thai Animation and Computer Graphics Association, the Thai Embedded Systems Association, the eLearning Association of Thailand and the Thailand Game Software Association.

The letter said the minimum requirements should be broadened to allow for a wider candidate field. For example, candidates are now required to hold at least a master’s degree in the field of software or ICT.

However, this provision denies a chance to others who have not obtained graduate degrees but do have ample management experience in the software and digitalcontent industry.

The letter also suggested that since the private sector played such an important role in the development of the local software industry, Sipa should allow the sector to participate in selecting a new president, including by communicating each candidate’s vision to them.
